These Terms & Conditions ("Terms") govern access to and use of Rubedyne at rubedyne.com, including its formulation, product information file (PIF), raw-material, manufacturing and AI features (together, the "Service").
1. Who we are
The Service is provided by Indaplan Kft. ("Rubedyne", "we", "us").

2. Business use only
The Service is offered exclusively to businesses and professionals acting for purposes of their trade, business or profession. It is not offered to consumers, and the rules of Hungarian and EU law that protect consumers do not apply to these Terms.
By accepting these Terms on behalf of an organisation, you confirm that you are authorised to bind that organisation. "Customer" means that organisation, or you where you act on your own account as a professional.
3. How the contract is concluded
- The contract is concluded electronically, in English, when you create an account and accept these Terms, and for paid plans when you complete checkout.
- Before submitting an order you can review and correct everything you entered; the checkout summary shows the plan, the price and the applicable VAT treatment.
- The contract is not filed as a separate document. The current version of these Terms is always available at rubedyne.com/legal/terms and from your account under Terms & privacy; earlier versions are available on request.
- These Terms do not refer to any code of conduct.
4. Accounts and teams
- Each user has a personal account and must keep their credentials confidential. Sign-in is provided through our authentication provider.
- A team owner can invite members. The Customer is responsible for who it invites, for the roles it assigns and for its members' use of the Service.
- On team plans, members' usage draws on the team owner's quota.
- Each user accepts these Terms personally.
5. Plans, quota and payment
- Paid plans, token quotas and add-ons (such as extra PIFs) are described on the subscription page at the time of purchase.
- Payments are processed by Stripe. Invoices are issued electronically through számlázz.hu.
- Prices are exclusive of VAT. For customers established in another EU Member State with a VAT number validated in VIES, invoices are issued under the reverse-charge mechanism; otherwise Hungarian VAT applies.
- Subscriptions renew automatically for the same period until cancelled. You can cancel at any time with effect from the end of the current billing period; cancellation never requires accepting a newer version of these Terms.
- Unused quota does not carry over to the next period unless the plan says otherwise.
6. Your content
- Formulas, PIFs, raw-material data, documents and other material you upload or create ("Customer Content") remain yours. You grant us the licence needed to host, process, back up and display Customer Content in order to provide the Service to you and to the people you share it with.
- Content you add to a team library is visible to that team.
- If you request that a raw material or formula be promoted to the shared catalogue, you grant us a non-exclusive, perpetual, royalty-free licence to publish it to other users in the form shown in the request. Where the request includes consent to use the content for training AI models, that consent is given per request in the promotion dialog and covers only that content.
- You are responsible for having the rights to the Customer Content you upload, including personal data of third parties (for example Responsible Persons, safety assessors or suppliers). Where we process such personal data on your behalf we act as your processor; a data processing agreement under Article 28 GDPR is concluded separately on request (support@rubedyne.com).
7. AI features
- AI features (including Adeptus, playbooks, ingredient matching and translation) produce suggestions generated by machine-learning models. They may be incomplete or wrong.
- AI output is informational only. It is not a safety assessment and not legal or regulatory advice. Compliance with Regulation (EC) No 1223/2009 and other applicable law, the cosmetic product safety report and the product information file remain the responsibility of the Customer, the Responsible Person and the safety assessor.
- Before relying on any output, you must review it professionally.
8. Acceptable use
You must not:
- use the Service unlawfully, or upload content you have no right to use;
- attempt to access other customers' data, probe or circumvent security or quota limits, or overload the Service;
- scrape, copy or resell the shared catalogue or the Service, or use it to build a competing database or model;
- share accounts between people.
We may suspend access that breaches this section, to the extent and for the time needed to stop the breach.
9. Intellectual property
The Service, its software, design, the shared catalogue as a database, and the RUBEDYNE name and marks belong to Indaplan Kft. or its licensors. These Terms do not transfer any of these rights to you except the right to use the Service during the contract.
10. Availability and changes to the Service
We aim for high availability but do not guarantee uninterrupted service. We may change features, provided that a change does not materially reduce a paid feature during the period already paid for.
11. Terms that differ from the default rules of law
Please read this section carefully. The following terms differ from the default rules of the Hungarian Civil Code. You accept them expressly when you accept these Terms (Section 6:78 of the Civil Code).
Limitation of liability. To the extent permitted by law, our total liability arising from the contract in any 12-month period is limited to the fees the Customer paid for the Service in that period. We are not liable for loss of profit, loss of data that the Customer could have exported, or indirect damage. These limits do not apply to damage caused intentionally or by gross negligence, or to damage to life, physical integrity or health.
Unilateral amendment. We may amend these Terms for the future. We announce amendments in the Service at least 15 days before they take effect. Continued use of the Service after the effective date counts as acceptance, and any purchase or plan change made after that date is made under the amended version. If you do not accept an amendment, you may cancel before it takes effect.
Suspension. We may suspend access under Section 8 without prior notice where needed to protect the Service or other customers.
12. Term and termination
- The contract runs until the account is closed. You can cancel your plan at any time, and have your account closed by writing to support@rubedyne.com.
- We may terminate with 30 days' notice, or immediately for a serious breach of these Terms.
- After termination you can request an export of your Customer Content for 30 days. After that period we delete it, except where the law requires us to keep it (for example invoices).
13. Data protection
How we process personal data is described in our Privacy Policy. Where we process personal data on the Customer's behalf, a data processing agreement under Article 28 GDPR is concluded separately on request (support@rubedyne.com).
14. Governing law and disputes
These Terms are governed by Hungarian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts of Budapest have exclusive jurisdiction, subject to the rules of competence of Hungarian civil procedure.
